This premier US and international law firm has a number of excellent new opportunities for ambitious Associates to join their busy and thriving UK Corporate / Private Equity team in London to focus principally on Financial Sponsor driven mandates. Their leading practice acts for stellar financial sponsors and their portfolio companies at all stages of the downstream investment cycle, including management incentive plans, financings and refinancings, bolt-on investments, management change, recaps, corporate restructurings and exits; they also closely support portfolio companies on legal issues that typically arise under financial sponsor ownership and leveraged structures, with a particular emphasis on matters that impact the capital structure. The firm's global Financial Sponsor practice forms an integral part of their ongoing M&A success and is one of the fastest-growing, most dynamic Financial Sponsor practices in Europe today. To succeed in these roles, applicants should have solid Corporate and Financial Sponsor experience, including in drafting and negotiating SPAs (ideally both locked box and completion accounts versions), management incentive documents (incl. leaver terms) and shareholders' agreements, alongside NDAs, engagement letters, disclosure letters, diligence reports and other ancillary documents. Some experience of the structuring of financial sponsor transactions and reviewing and commenting on funds flows would also be advantageous. At the senior end, the roles are well suited for individuals with broad experience of financial sponsor transactions who are ready to take the next step in their careers into leading deals in a pro-active way, reporting directly to partners and counsel in the team and communicating with clients, while leading on the drafting of sophisticated documentation and supervising more junior colleagues on other areas of the typical financial sponsor process.
